CREATION CALLS CHRIST CLUB  INTERNATIONAL

                                       CONSTITUTION

 

 

1. NAME:

 The name of the club shall be Creation Calls Christ (hereinafter referred to as the Club).

 

2. OBJECT:

The object for which the Club was established: 

 

To support and help each other by working and serving together in agreement, unity and love, to fulfill our individual callings and the prophetic declaration that Creation Calls Christ, in preaching Jesus Christ and worshipping His Father God, led by the Holy Spirit alone and based on the written word of God with Christ as the only foundation.

 

By inter alia:

 

Permitting Club members to use the name “Creation Calls Christ” in the furtherance of or promoting of their own business or ministry unto Christ;

 

Benefitting Club members as to marketing by way of a website on the internet, magazines or newsletters etcetera;

 

Negotiating special deals and discounts with various organizations.

 

3. AREA OF OPERATION:

The area in which the Club will operate in which members will be drawn will not be defined, and the membership can be worldwide without boundaries.

 

 

 

 

4. LEGAL STATUS:

The Club will exist in its own right as a separate legal entity, operating separately from its members having the right to acquire and dispose of goods and property and to acquire rights and obligations.

 

All actions by and against the Club will be in the name of the Club and the managing  committee may appoint a person or persons to act on behalf of the Club by signing or taking the necessary steps required on behalf of the Club.

 

5. BUSINESS AND PROFIT:

Any provision in this constitution to the contrary notwithstanding, the following provisions shall apply:

 

The Club is not being formed and will not exist in doing business with the object of making a profit.

 

The income and assets of the Club will be used solely for the furtherance and promotion of the object for which it was formed, but will however have the right to utilize funds for normal running expenses.

 

No portion of its income or assets may in any way be paid to its members.

 

6. MEMBERSHIP:

Any person who wishes to become a member of the Club, will submit an application for membership of at least one year, to the management committee who will the right to accept or deny any application.

 

7. RIGHTS OF MEMBERS:

Membership of the Club does not confer the right on a member to lay claim to any moneys or assets of the Club, but only the privilege of membership.

 

All members are bound by this constitution.

 

8. MEMBERSHIP AND ENTRY FEE:

Membership and entry fees will be fixed by the management committee from time to time. The current entry fee is R300,00 and the monthly membership fee is R100,00.

 

The entry fee is payable on application by the would be member and will be refunded to the would be member in the event of his or her application for membership being refused. The first months membership is likewise payable upon submitting the application form to the Club and will likewise be refunded in the event of the member’s application being unsuccessful.

 

Further monthly membership fees are payable on or before the twelfth of each and every calendar month. In the event of any member wishing to make use of the postal services to make payment, should make the necessary arrangements to post the monthly membership fee in due time, to enable the payment to reach the Club on or before the twelfth of the month.

 

9. RESIGNATION BY MEMBER:

A member may resign by giving two calendar months written notice by registered post of his intention to do so. The member will be liable for membership fees for the two months in which the period of resignation runs.

 

10. FORFEITURE OF MEMBERSHIP:

In the event of a member not fulfilling his membership obligations by not making payment of his or her monthly membership fee, and it being unpaid for a period of 30 days after having become due, he or she will automatically cease to be a member, and will not be entitled to make use of any of the membership privileges.

 

A member shall also be obliged to resign, in the event of his or her actions damaging the prestige or esteem of the Club, or his or her no longer subscribing to the objects of the Club. The fact as to whether the member is damaging the prestige or esteem of the Club, or his or her no longer subscribing to the objects of the Club, will be in the sole discretion of the committee.

 

11. MANAGEMENT:

The organization will be managed by a Management Committee consisting of not less than five members, i.e. Chairperson, Deputy Chairperson, Treasurer, Secretary and Deputy Secretary. The term of office bearers will be one year, but they will be eligible for re-election for another term of office. Vacancies occurring will be filled by the Management Committee.

 

The first members of the Management Committee will be:

 

*Chairperson

*Deputy Chairperson

*Treasurer

*Secretary

*Deputy Secretary

 

The members of the Management Committee will be elected by the Club members at the annual general meeting.

 

The Managing Committee will meet at least once a month and a quorum will be 3 (three) members.

 

12. POWERS OF THE MANAGEMENT COMMITTEE:

The control of the Club, the management of its affairs and the execution of its objects will be in the hands of the Management Committee, who can execute all the powers of the Club, inter alia:

 

*to institute, defend, settle or abandon any legal action or claim;

*to negotiate and sign agreements;

*to open a bank account in name of the club and to deposit or withdraw funds by

  way of cheques or otherwise;                  

*to invest moneys not immediately required

 

The Management Committee may co-opt any person from time to time, whether it be a member of the club or not, to assist the committee in considering any matter pertaining to the Club’s affairs. Such person will have the rights of a member at the meeting, but will have no voting rights.

 

No member of the Management Committee shall have a direct or indirect interest in or benefit from any contract which the management may conclude with any person or legal person.                                   

 

13. BANK ACCOUNT:

All moneys payable to the Club will be deposited in the Club’s Bank account, and all withdrawals will be made by cheque signed by any of the two of the committee members so authorized.

 

14. BOOKKEEPING AND AUDITING:

The Club will keep books of record, and these books and records shall be audited at least once a year by a registered auditor who is not a member of the committee.

 

15. ANNUAL GENERAL MEETING:

The Annual General Meeting must be held once a year as soon as possible after the 28th February, but not later than the 30th June.

 

The Management Committee must give at least 14 (fourteen) days notice to members of such meeting.

 

The quorum at such Annual General Meeting shall be 24 (twenty four) members.

 

Business conducted at such Annual General Meeting shall be:

 

*to consider and adopt the financial statements of the previous financial year;

*to elect members of the Management Committee when necessary;

*to deal with and consider such other matters of which due notice had been given

 

16. AMENDMENT OF CONSTITUTION:

The Constitution may be changed or amended by approval of not less than two thirds of members present and voting at the Annual General Meeting or at a Special Meeting of which proper notice had been given.
